Welcome to Virie. By accessing or using our mobile applications, website, and services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). Please read them carefully.

1. Acceptance of Terms

By creating an account, accessing, or using the Virie platform, you agree to these Terms and our Privacy Policy. If you do not agree, you may not use our Services.

2. The Services

Virie is a technology platform that connects users seeking transportation ("Riders") with independent third-party providers of transportation services ("Drivers").

  • Independent Contractors: The transportation services are provided by Drivers, who are independent contractors and not employees of Virie. Virie is not a transportation provider.
  • Insurance: Drivers are required to maintain their own valid automobile insurance as required by law. Virie does not provide insurance coverage for Drivers or Riders.

3. User Accounts

To use most aspects of the Services, you must register for and maintain an active personal user account ("Account").

  • Eligibility: You must be at least 18 years of age.
  • Accuracy: You agree to provide accurate, complete, and up-to-date information.
  • Security: You are responsible for maintaining the confidentiality of your Account login credentials.

4. Communication

By creating an Account, you agree that Virie may contact you by telephone or text (SMS) messages at any of the phone numbers provided by you or on your behalf in connection with a Virie account. You acknowledge that opting out of receiving text (SMS) messages may impact your use of the Services.

5. Network Access and Devices

You are responsible for obtaining the data network access necessary to use the Services. Your mobile network's data and messaging rates and fees may apply if you access or use the Services from a wireless-enabled device. You are responsible for acquiring and updating compatible hardware or devices necessary to access and use the Services. Virie does not guarantee that the Services will function on any particular hardware or devices.

6. Charges and Payments

  • Fares: You understand that use of the Services may result in charges to you for the services or goods you receive ("Charges").
  • Payment: Charges will be inclusive of applicable taxes where required by law. Charges are paid by you using your preferred payment method designated in your Account.
  • Cancellations: You may elect to cancel your request for services at any time prior to the arrival of a Driver, in which case you may be charged a cancellation fee.
  • Cleaning and Repair Fees: You are responsible for the cost of repair for damage to, or necessary cleaning of, Driver vehicles and property resulting from use of the Services under your Account in excess of normal "wear and tear." If a Driver reports the need for Repair or Cleaning, and such request is verified by Virie, Virie reserves the right to facilitate payment for the reasonable cost of such Repair or Cleaning using your designated payment method.

7. User Conduct

You agree to use the Services only for lawful purposes. You will not:

  • Use the Service for sending or storing any unlawful material or for fraudulent purposes.
  • Cause nuisance, annoyance, or inconvenience to the Driver or any other party.
  • Impair the proper operation of the network.

8. Intellectual Property

All rights, title, and interest in and to the Services (excluding User Content) are and will remain the exclusive property of Virie and its licensors. The Services are protected by copyright, trademark, and other laws of both the United States and foreign countries. Nothing in the Terms gives you a right to use the Virie name or any of the Virie trademarks, logos, domain names, and other distinctive brand features.

9. Disclaimers and Limitation of Liability

  • Disclaimer: THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." VIRIE DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, NOT EXPRESSLY SET OUT IN THESE TERMS.
  • Limitation of Liability: VIRIE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST DATA, PERSONAL INJURY, OR PROPERTY DAMAGE RELATED TO, IN CONNECTION WITH, OR OTHERWISE RESULTING FROM ANY USE OF THE SERVICES.

10. Indemnification

You agree to indemnify and hold Virie and its officers, directors, employees, and agents harmless from any and all claims, demands, losses, liabilities, and expenses (including attorneys' fees), arising out of or in connection with: (i) your use of the Services; (ii) your breach or violation of any of these Terms; or (iii) your violation of the rights of any third party, including Drivers.

11. Termination

Virie may immediately terminate these Terms or any Services with respect to you, or generally cease offering or deny access to the Services or any portion thereof, at any time for any reason.

12. Dispute Resolution

  • Arbitration: You agree that any dispute, claim or controversy arising out of or relating to these Terms will be settled by binding arbitration, except that each party retains the right to bring an individual action in small claims court.
  • Class Action Waiver: You acknowledge and agree that you and Virie are each waiving the right to a trial by jury or to participate as a plaintiff or class member in any purported class action or representative proceeding.

13. Modifications

Virie reserves the right to modify these Terms at any time. We will provide notice of these changes by posting the revised Terms on our website or through the Services. Your continued use of the Services constitutes your acceptance of the revised Terms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States, without giving effect to any conflict of law principles.
